These Terms of Service govern the use of Claimpaign, a Proof of Onboarding as a Service platform for token claim campaigns on the Cardano blockchain, operated by Tommy Kammerer, Raiffeisenstr. 30, 77743 Neuried, Germany.
1. Scope
1.1 These terms apply exclusively to business relationships with entrepreneurs within the meaning of § 14 BGB (German Civil Code), hereinafter referred to as “customer”. Consumers within the meaning of § 13 BGB are excluded from using this service.
1.2 These terms apply to all services provided by the operator to the customer. Any deviating or supplementary terms of the customer shall not apply, even if the operator does not expressly object to them.
2. Subject Matter
2.1 Claimpaign provides a web-based SaaS platform for Proof of Onboarding campaigns following the CIP-0099 standard on the Cardano blockchain. The customer creates campaigns, generates QR code-based claim codes and distributes them to recipients. Recipients scan the codes with a compatible Cardano wallet and receive the configured values (ada, fungible tokens or NFTs) on-chain.
2.2 The operator maintains the necessary blockchain infrastructure including the platform wallet through which all transactions are processed. The platform wallet is solely owned and controlled by the operator.
2.3 This service does not constitute a custodial arrangement. The customer does not acquire crypto assets but rather an internal campaign credit balance for running claim campaigns through the platform. Campaign credits are denominated in ada but represent a prepaid balance and do not constitute a claim on specific crypto assets.
3. Contract Formation
3.1 Registration is conducted through an access invitation issued by the operator. During registration, the customer confirms their business customer status in accordance with § 14 BGB and provides their business details.
3.2 The usage agreement is formed upon completion of registration and confirmation of business customer status. Individual campaigns are commissioned through creation and confirmation on the platform.
4. Scope of Services & SLA
4.1 The scope of services includes provision of the platform, generation of claim codes and QR codes, execution of blockchain transactions upon code redemption, and provision of campaign statistics in the customer dashboard.
4.2 The operator strives for high platform availability but does not guarantee any specific level of availability. Maintenance work may temporarily limit accessibility.
4.3 Execution of blockchain transactions depends on the state of the Cardano network. Delays or outages of the network are beyond the operator's control. If a transaction fails, the affected claim code is automatically released and can be redeemed again.
5. Pricing & Payment
5.1 The customer tops up their campaign credits by sending ada (native cryptocurrency of the Cardano network) to the deposit address assigned by the operator. The deposited amount is credited to the customer's campaign credit balance.
5.2 Billing follows a pay-per-code model. When a campaign is created, the costs for the requested number of codes are deducted from the campaign credit balance. The cost per code consists of the configured ada amount per redemption plus a service fee.
5.3 Current service fees per campaign type (ada, token, NFT) are available through the platform's pricing endpoint and are transparently displayed during campaign creation.
5.4 Pursuant to § 19 UStG (German Small Business Regulation), no VAT is charged.
5.5 Campaign credits are earmarked and may only be used to create campaigns on the platform. Withdrawal or refund of campaign credits in ada or any other form of payment is excluded.
5.6 Upon termination of a campaign, the costs for unredeemed codes are credited back to the campaign credit balance on a pro-rata basis. The credited balance is available to the customer for new campaigns.
5.7 The operator reserves the right to change prices with a notice period of at least 30 days. Campaigns already created are not affected by price changes.
6. Term & Termination
6.1 The usage agreement is concluded for an indefinite period and may be terminated by either party at any time without notice.
6.2 The customer may pause or end active campaigns at any time. Upon ending a campaign, the costs for unredeemed codes are credited back to the campaign credit balance (see 5.6). An ended campaign cannot be reactivated.
6.3 Upon termination of the usage agreement, the customer has 30 days from receipt of the termination notice to use their remaining campaign credits for new campaigns. After this period, any remaining credits are forfeited without compensation.
6.4 The right to extraordinary termination for cause remains unaffected. Cause exists in particular if the customer violates these terms or applicable law.
7. Limitation of Liability
7.1 The operator is liable without limitation for intent and gross negligence, as well as for damages resulting from injury to life, body or health.
7.2 In cases of slight negligence, the operator is only liable for breach of material contractual obligations (cardinal obligations). In such cases, liability is limited to foreseeable, contract-typical damages.
7.3 Liability for lost profits is excluded. The operator's total liability is capped at the amount paid by the customer in the 12 months preceding the damaging event.
7.4 The operator is not liable for damages caused by outages or disruptions of the Cardano network, price fluctuations of crypto assets, or errors in third-party wallets.
7.5 Liability under the German Product Liability Act remains unaffected.
8. Warranty
8.1 The customer shall report defects in writing without undue delay after discovery.
8.2 The operator is first entitled to provide supplementary performance. If supplementary performance fails, the customer is entitled to statutory warranty rights.
8.3 The warranty period is 12 months from the date of service delivery. This does not apply to claims arising from intent, gross negligence, or injury to life, body or health.
9. Data Protection
9.1 Personal data is processed in accordance with the operator's Privacy Policy.
9.2 The operator uses sub-processors to provide its services, in particular Cloudflare (hosting, CDN, database). Details are set out in the Privacy Policy.
9.3 Only pseudonymous wallet addresses are processed on the blockchain. No personal data of the customer is stored on the blockchain.
10. Confidentiality
10.1 Both parties undertake not to disclose confidential business information of the other party to third parties and to use it only for the purpose of fulfilling the contract.
10.2 The confidentiality obligation does not apply to information that is publicly available, was already known to the recipient, or was lawfully obtained from third parties.
10.3 The confidentiality obligation shall survive termination of the contractual relationship.
11. Governing Law & Jurisdiction
11.1 The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
11.2 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Offenburg, Germany.
12. Final Provisions
12.1 Should individual provisions of these terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by a provision that most closely reflects the economic purpose of the omitted provision.
12.2 Amendments and supplements to these terms require text form (§ 126b BGB). This also applies to the amendment of this text form clause. Notices sent by email satisfy the text form requirement.
12.3 The customer may only assign rights and obligations under this contract to third parties with the prior written consent of the operator.
